SUPPLY AND SALES AGREEMENT

This agreement is prepared between the Buyer Company ….. Inc. and the Seller Company ….. within the framework of the general and any special provisions specified below and enters into force on the date it is signed by the parties.
The contract is signed between ….. Inc. and ….. on behalf of the buyer and seller companies and its provisions bind the buyer and the seller company.

CONTRACT ARTICLES

Article 1 – Order Procedure

Orders are placed by department managers by taking into account sales of at most … days. Activities or bulk purchases are carried out only by the purchasing unit.

Article 2 – Product Selection

….. Inc. is free to include or remove the seller company's products in its portfolio according to sales performance. Products without an RPT may be removed from the portfolio. The seller's new products are evaluated by considering sales and shelf status.

Article 3 – Delivery Conditions

Products are delivered to the store. Transportation is the responsibility of the seller company. All kinds of damage that may occur until the acceptance belong to the seller company. Damaged products are not accepted and are returned.

• In summer time, delivery is made no later than ….
  Product deliveries are made with the order and invoice; delivery with dispatch note is not accepted.
  Products whose half of the expiration date has passed are not accepted.
  If products invoiced exceed the quantity and variety specified in the order form, the entire invoice will be returned.

Article 4 – Return Conditions

Returns of unsold, defective, model faulty, packaging damaged, label faulty or products that have expired; shall be made by the return invoice issued by the buyer, with transport and all expenses borne by the seller.
In consignment sales, unsold products are taken back by the seller. If the returned goods are not taken within 7 days after the return day notification is made, ….. Inc. will send them by cargo.
